Scope
These terms apply to hosted software ("the Service") provided by Northline Studio ("we", "us"). They sit on top of our website Terms and Privacy Policy. If you sign a separate agreement with us, that agreement takes priority where they conflict.
Accounts and workspaces
You need an account to use the Service. A workspace belongs to the account that created it; the owner decides who else may join and is responsible for their activity. Keep credentials private and tell us promptly about any suspected misuse.
Free trials
Each plan may include a free trial of the length shown on the pricing page ([30] days at launch). No payment method is required to start. If you do not subscribe before the trial ends, your workspace becomes read-only for a grace period of [14] days, after which it may be suspended. You can export your data during the grace period.
We may limit trials to one per person or company and may refuse or end a trial that appears abusive.
Subscriptions, billing and renewal
Paid plans are billed in advance, monthly or yearly as you choose, in the currency shown at checkout. Subscriptions renew automatically at the end of each period until cancelled. We will tell you before a yearly renewal.
Upgrades take effect immediately with a prorated charge; downgrades and cancellations take effect at the end of the current period. Prices may change with at least [30] days' notice before your next renewal. Payments are processed by a third-party payment provider; during the current sandbox phase no real charges are made.
Taxes: prices exclude any applicable taxes unless stated; [tax handling to be confirmed by admin].
Cancellation and refunds
You can cancel at any time from your account. You keep access until the end of the paid period.
Refunds: [admin to confirm — for example, a refund of the first payment within 14 days]. Except where the law requires otherwise or we agree in writing, fees for periods already started are not refunded.
Your data
You own your content. You give us permission to host and process it only to provide the Service. We handle personal data as described in the Data Processing Addendum and Privacy Policy.
You can export your data while your account is active and during the grace period after a trial or cancellation. After [30] days following closure we may delete the workspace and its data, subject to backups rolling off in the ordinary course.
Acceptable use
You must follow our Acceptable Use Policy. We may suspend a workspace that breaks it or puts the Service or other customers at risk.
Availability and support
We aim to keep the Service available as described in the Service Level Agreement. Support is provided by email and through the support tickets in your account.
Changes to the Service and these terms
We may improve or change the Service. If we make a material change that reduces functionality you rely on, or change these terms in a way that affects you, we will give reasonable notice. Continuing to use the Service after the notice period means you accept the change.
Warranties and liability
The Service is provided as-is, except for any warranties that cannot be excluded by law. To the fullest extent allowed by law, our total liability for claims arising from the Service in any 12-month period is limited to the fees you paid for that period, and we are not liable for indirect or consequential losses. [Counsel to review this clause.] Nothing here limits liability that cannot be limited by law.
Suspension and termination
We may suspend or end access for breach of these terms, non-payment after notice, or legal requirement. You may stop using the Service at any time. Sections that by their nature should survive termination, such as liability and payment obligations, will survive.
